1. Acceptance of Terms
By accessing or using Cupel ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.
2. Description of Service
Cupel is a data platform builder that provides visual pipeline creation, PRISM architecture templates, quality gates, compliance automation, BI integration, and cost monitoring. The Service orchestrates data pipelines; computation is performed in your own cloud environment.
3. Accounts and Access
You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorised access. We reserve the right to suspend accounts that violate these Terms.
4. Subscription and Billing
4.1 Plans
The Service is available under Starter, Pro, and Enterprise plans. Plan details and pricing are described on our pricing page. Prices are subject to change with 30 days' notice.
4.2 Credits
Pipeline operations consume credits as described in your plan. Overages are billed at standard rates. Unused credits do not roll over between billing periods.
4.3 Payment
Payments are processed by Stripe. You authorise us to charge your payment method for applicable fees. All fees are non-refundable except as required by law.
5. Your Data
You retain all rights to your data. We do not store customer data at rest in our infrastructure. Only schema metadata is transmitted to our control plane for orchestration purposes. You are responsible for the accuracy, quality, and legality of your data.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorised access to other accounts or systems
- Reverse engineer, decompile, or disassemble the Service
- Interfere with or disrupt the Service infrastructure
- Resell or redistribute the Service without written permission
7. Intellectual Property
The Service, including its software, design, and documentation, is owned by Cupel and protected by intellectual property laws. Your subscription grants a limited, non-exclusive, non-transferable licence to use the Service during the subscription term.
8. Limitation of Liability
To the maximum extent permitted by law, Cupel shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid in the twelve months preceding the claim.
9. Termination
Either party may terminate the subscription at any time. Upon termination, your access to the Service ceases. We will retain your account data for 90 days to allow for data export.
10. Changes to Terms
We may modify these Terms from time to time. Material changes will be communicated via email or the Service. Continued use after changes constitutes acceptance.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
